Terms and conditions 1. Definitions. In this agreement, the words 'we', 'us' and 'our' mean Contract Data Services Ltd. The words 'you', 'your' and 'the subscriber' mean any person, corporation, association, agency, company or other entity who subscribes to Contract Data Services Ltd. publications. 2. The agreement. This agreement describes the terms and conditions pursuant to which we shall provide the service to you, the subscriber. You must agree to abide by all of the terms and conditions contained in this agreement in order to become or remain a registered subscriber. These terms and conditions shall collectively constitute the only terms and conditions under which we shall the supply the services set out. 3. Copyright. You agree not to reproduce in any form, all or part of any information contained in our publications (excluding internal use by employees of registered subscribers). You agree not to modify, copy reproduce, distribute, publish, create derivative works from, display or otherwise transfer or commercially exploit any of the content, in whole or in part. 4. Delivery. Your first months leads will be delivered to you within 5-7 days following receipt of payment and thereafter at agreed intervals for the duration of the subscription period. 5. Terms of supply. No credit will be given for cancellations during the subscription period. 6. Liability. Under no circumstances shall we be liable to the subscriber for any decision made or action taken in reliance of the content contained in our publications. We try to ensure that all information supplied to you is accurate and complete and do not accept any liability arising from any inaccuracy, omission or typographical error in the information supplied to you. 7. Assignment. The agreement may not be assigned in whole, or in part by the subscriber without the prior consent of Contract Data Services Ltd., such consent not to be unreasonably withheld. We may assign this agreement to any person, direct or indirect subsidiary, parent or group company without consent. 8. Telephone calls. We may monitor telephone calls with you for training purposes. 9. Data protection. We will use your information for administration purposes only. 10. Notices. Any notice, invoice or other document which may be given by either party under this agreement shall be deemed to have been given if left at or sent by post or facsimile transmission or email notification (confirming the same by post) to an address notified by the other party in writing as an address to which notices, invoices or other documents may be sent. 11. Official correspondence. Official correspondence relating to this agreement must be sent via registered or recorded mail to: Contract Data Services Ltd., 24 Heather Road, Bell Green, Coventry, CV2 1JZ. 12. Governing law and jurisdiction. This agreement has been made in and shall be construed and enforced in accordance with the laws of England and Wales and legal proceedings in connection with this agreement may be taken in English or Welsh courts.
